Agreement to Terms
These Terms of Use constitute a legally binding agreement between you and Capstone PropTech LLC, doing business as MLS Pipeline ("MLS Pipeline," "we," "us," or "our") concerning your access to and use of the MLS Pipeline service, a Canva integration for MLS organizations.
By accessing or using our service, you agree to be bound by these Terms and our Privacy Policy (collectively, the "User Terms"). If you disagree with any part of these terms, you may not access the service.
Service Description
MLS Pipeline provides a Canva app integration that allows authorized members of participating MLS organizations to access MLS data (listings, member profiles, and office information) directly within Canva's design platform.
Eligibility and Authorization
To use MLS Pipeline, you must:
- Be an authorized member of a participating MLS organization
- Have an active Canva account (Free, Pro, Team, or Enterprise)
- Be at least 18 years of age
- Have the legal authority to enter into these Terms
- Comply with all MLS rules, regulations, and data usage policies
Your MLS organization controls your access to the service. We may verify your membership status and authorization at any time.
Account Security and Authentication
You are responsible for:
- Maintaining the confidentiality of your authentication codes and credentials
- All activities that occur through your linked accounts
- Notifying your MLS organization immediately of any unauthorized access
- Using the service only from your own verified Canva account
Do not share your authentication codes with anyone. Authentication codes expire after 10 minutes for security purposes. If you believe your access has been compromised, contact your MLS organization immediately.
License and Access
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use MLS Pipeline for your professional real estate activities. This license is provided through your MLS organization's subscription and may be terminated if:
- Your MLS membership ends or is suspended
- Your MLS organization terminates its subscription
- You violate these Terms or applicable MLS policies
- Your Canva account is closed or suspended
Data Accuracy and Formatting
MLS Pipeline retrieves data in real-time from your MLS organization's database and formats it for display within Canva. We do not create, calculate, verify, or validate MLS data.
Data formatting includes standard transformations for readability such as:
- Adding currency symbols and thousand separators (e.g., $500,000)
- Formatting dates and phone numbers
- Adding unit labels (e.g., sq ft, acres)
- Standardizing capitalization
We do not alter factual values or perform calculations. If data appears incorrect, the source data from your MLS may be incorrect or incomplete.
YOU ARE SOLELY RESPONSIBLE FOR:
- Verifying all information before use in marketing materials
- Ensuring data accuracy and currency
- Confirming compliance with all applicable laws and regulations
- Reviewing and updating any designs before distribution
Do not rely on MLS Pipeline data without independent verification.
User-Created Content and Data Storage
Designs you create using MLS Pipeline are created within and stored on the Canva platform. MLS Pipeline does not store, control, or have access to your completed designs.
If your access to MLS Pipeline ends for any reason:
- Your designs remain in your Canva account
- You retain access to your Canva account and designs
- You will no longer be able to use MLS Pipeline features within those designs
- MLS data fields in your designs will no longer update automatically
We cannot retrieve, export, or restore designs on your behalf. Regularly export or download important designs from your Canva account.
Acceptable Use
You Agree To:
- Use the service only for legitimate real estate business purposes
- Comply with all applicable laws, regulations, and MLS rules
- Maintain the confidentiality of your authentication credentials
- Protect MLS data according to your MLS's data usage policies
- Use accurate and up-to-date information in your designs
You Agree NOT To:
- Share your account access with unauthorized individuals
- Access or attempt to access data you're not authorized to view
- Scrape, harvest, or systematically download MLS data
- Reverse engineer, decompile, or disassemble the service
- Use the service to violate any laws or third-party rights
- Interfere with or disrupt the service or servers
- Remove or modify any copyright or proprietary notices
- Use the service for any fraudulent or illegal purpose
Fair Housing and Legal Compliance
Real estate advertising is subject to federal, state, and local fair housing laws including the Fair Housing Act, Americans with Disabilities Act, and state-specific regulations.
YOU ARE SOLELY RESPONSIBLE FOR:
- Ensuring all content complies with fair housing laws
- Avoiding discriminatory language, images, or statements
- Following all advertising regulations in your jurisdiction
- Reviewing all designs for legal compliance before use
MLS Pipeline provides design tools only. We do not review, approve, or monitor your content for legal compliance. We are not your legal advisor.
If you're unsure whether content complies with fair housing laws, consult with a qualified attorney before publication.
MLS Data Usage
All MLS data accessed through MLS Pipeline remains subject to:
- Your MLS organization's rules, regulations, and policies
- Applicable copyright and intellectual property laws
- Fair housing laws and anti-discrimination regulations
- Data protection and privacy requirements
You are solely responsible for ensuring your use of MLS data complies with all applicable requirements. MLS Pipeline does not grant you any ownership rights to MLS data.
Templates and Design Resources
MLS Pipeline may provide optional design templates, layouts, or examples as a convenience to users. These templates:
- Have NOT been reviewed by legal counsel
- Have NOT been verified for compliance with fair housing laws or advertising regulations
- Are provided "AS-IS" for layout purposes only
- Must be reviewed and modified by you before use
- Do not constitute legal advice or compliance guidance
Templates are placeholder designs only. Real estate advertising laws vary by jurisdiction and change over time. You are solely responsible for ensuring your final designs comply with all applicable laws.
Using a template provided by MLS Pipeline does not guarantee legal compliance and does not transfer any liability to MLS Pipeline.
Third-Party Services
MLS Pipeline integrates with Canva, a third-party service. Your use of Canva is subject to Canva's own terms of service and privacy policy. We are not responsible for Canva's services, policies, or any issues arising from your use of Canva.
Service Availability
MLS Pipeline depends on:
- Your MLS organization's data feed and API
- The Canva platform (a third-party service)
- Internet connectivity
- Your device and browser compatibility
We do not guarantee:
- Uninterrupted or error-free service
- Specific response times or performance
- Compatibility with all devices or configurations
- Availability of Canva platform features
Service may be unavailable due to maintenance, updates, MLS system issues, Canva platform issues, or events beyond our control. We are not liable for any unavailability or service interruptions.
Intellectual Property
MLS Pipeline and its original content, features, and functionality are owned by Capstone PropTech LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Designs you create using Canva and MLS data are subject to Canva's terms regarding ownership and intellectual property rights.
Disclaimers and Limitation of Liability
Service "As Is"
MLS PIPELINE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Guarantee of Accuracy
While we strive to provide accurate and up-to-date MLS data, we do not guarantee the accuracy, completeness, or reliability of any data accessed through the service. You are responsible for verifying all information before use.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MLS PIPELINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
Indemnification
You agree to indemnify, defend, and hold harmless MLS Pipeline, Capstone PropTech LLC, your MLS organization, and their respective officers, directors, employees, contractors, agents, members, and affiliates from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with:
- Your access to or use of the service
- Your violation of these Terms
- Your violation of any rights of another party
- Content you create using the service, including but not limited to claims of:
- Fair housing violations or discrimination
- Copyright or trademark infringement
- False or misleading advertising
- Defamation or invasion of privacy
- Violation of MLS rules or real estate regulations
- Any other legal violation related to your marketing materials
- Your use of MLS data in violation of applicable laws or MLS policies
- Any inaccuracy in content you create, whether based on MLS data or your own additions
- Your failure to verify information before publication
- Your failure to comply with applicable advertising laws and regulations
This indemnification expressly covers claims brought against your MLS organization arising from your use of the service or content you create.
This indemnification obligation survives termination of your access to the service and these Terms.
Your MLS Organization
Your access to MLS Pipeline is provided through your MLS organization's subscription agreement with us. Your MLS organization is an intended third-party beneficiary of your indemnification obligations under these Terms and may enforce those provisions directly against you.
Termination
We may terminate or suspend your access to the service immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Request from your MLS organization
- Violation of MLS rules or policies
- Fraudulent or illegal activity
- Discontinuation of the service
Upon termination, your right to use the service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Arbitration Procedures
- Location: Arbitration shall take place in Ada County, Idaho
- Governing Law: Idaho law applies
- Single Arbitrator: One neutral arbitrator will decide the dispute
- Costs: Each party bears its own costs unless arbitrator decides otherwise
- Discovery: Limited discovery as determined by arbitrator
- Award: Arbitrator's decision is final and binding
Exceptions
The following may be brought in court rather than arbitration:
- Small claims court actions (under $10,000)
- Injunctive relief for intellectual property violations
- Emergency equitable relief
Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. There shall be no right or authority for any claims to be arbitrated on a class action basis.
Right to Opt Out
You may opt out of this arbitration agreement by sending written notice to legal@mlspipeline.com within 30 days of first accessing the service.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles. Federal arbitration law (the Federal Arbitration Act) governs the arbitration provisions of these Terms.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of these Terms. For material updates, we may require you to re-accept these Terms before continuing to use the service. Your continued use of the service after changes become effective constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
